1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any written scope document agreed between us and the Client.
- "Bridgenest" / "we" / "us" / "our" means the administrative records support business operating under the name Bridgenest, with its principal place of business at 30 Jalan Pahang, 53000 Kuala Lumpur, Malaysia.
- "Client" / "you" means the individual or household engaging Bridgenest services.
- "Service" means any of the three administrative records services offered by Bridgenest: the Document Gathering Checklist Session, the Scanning, Indexing and Backup Setup service, and the Annual Records Stewardship Retainer.
- "Scope Document" means the written document prepared before each engagement setting out the agreed scope, deliverables and price.
- "Website" means the website at bridgene.sbs.
2. Acceptance of Terms
By using our Website or engaging any of our Services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. These Terms govern your use of the Website and your engagement of any Service. If you do not accept these Terms, please do not use our Website or engage our Services.
For each Service engagement, a written Scope Document is prepared and agreed before work begins. That Scope Document, together with these Terms, constitutes the entire Agreement between us.
3. Service Description
Bridgenest provides administrative household records support services in the Kuala Lumpur area, Malaysia. Our three services are:
- Document Gathering Checklist Session โ a two-hour in-home appointment producing a written document checklist, labelled folder set, glossary and written summary. Price: RM 560.
- Scanning, Indexing and Backup Setup โ a full digitisation service covering up to 800 pages over two visits, producing a searchable index, two independent backups and a handover session. Price: RM 1,690.
- Annual Records Stewardship Retainer โ a twelve-month arrangement covering monthly filing, quarterly reviews, backup management, calendar upkeep, procedures note updates and appointment coordination. Price: RM 4,560 per year.
All Services are administrative in nature. Bridgenest does not provide legal, financial, medical or professional advisory services of any kind. Nothing in the delivery of any Service constitutes advice on the contents, meaning or implications of any document.
Services are currently available for in-home delivery within the Kuala Lumpur metropolitan area. We will confirm geographic scope before any engagement begins.
4. Client Responsibilities
As a Client, you agree to:
- Provide accurate contact and engagement information when requested.
- Make the relevant documents and physical access to the premises available at the agreed appointment times.
- Attend or arrange for another responsible adult to attend any handover session included in the agreed scope.
- Use the Website and our Services for lawful purposes only.
- Not use our Website or Services to process documents relating to fraudulent, criminal or unlawful activities.
5. Intellectual Property
All original content on the Website, including text, formatting, design and methodology documentation, is owned by or licensed to Bridgenest and may not be reproduced without our written consent.
The written outputs produced during a Service engagement โ including checklists, indexes, summaries and procedures notes โ are prepared for your household and belong to you upon delivery. Bridgenest retains the right to use anonymised, non-identifiable methodological insights from engagements to improve its services.
6. Payment Terms
All prices are stated in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless stated otherwise. Payment is due in accordance with the terms set out in the Scope Document, typically 50% upon signing and 50% upon delivery for single-engagement services, and monthly or annually for the retainer.
Accepted payment methods will be confirmed in the Scope Document. Invoices are issued electronically to the email address provided at engagement.
Cancellations and changes: If you cancel an engagement with fewer than 48 hours' notice before a scheduled appointment, a cancellation fee of 20% of the agreed service price may apply. Changes to agreed scope must be discussed and confirmed in writing before implementation and may affect the price.
Refund policy: Where a Service cannot be completed due to circumstances within our control, we will offer a partial or full refund proportionate to the work not delivered. Refunds are not provided for completed work that meets the agreed Scope Document.
7. Service-Specific Terms
Checklist Session: The session covers a maximum of two hours. If the volume of documents requires additional time, we will discuss an extension before proceeding. Written outputs are delivered within two working days of the appointment.
Scanning, Indexing and Backup Setup: Scope covers up to 800 pages. If the actual volume exceeds this limit, we will discuss an adjusted scope and price before beginning scanning. Original documents are not removed from your premises and are returned in labelled folders at the close of each visit.
Annual Retainer: The retainer runs for twelve calendar months from the start date confirmed in the Scope Document. Either party may terminate the retainer by giving one calendar month's written notice at any quarter point. Upon termination, Bridgenest will deliver a summary file of work completed to that date. Fees for the current quarter are non-refundable upon termination.
8. Disclaimers
Our Services are provided on an administrative and organisational basis only. We make no representation that any checklist, index, summary or other output is legally or professionally sufficient for any particular purpose. You are responsible for obtaining independent legal, financial or professional advice on any matters relating to your documents.
Website content is provided for general information purposes and may not reflect the most current developments in administrative or regulatory requirements.
9. Limitation of Liability
To the fullest extent permitted under Malaysian law, Bridgenest's total liability to you for any claim arising out of or in connection with a Service engagement shall not exceed the total amount paid by you for that engagement.
We shall not be liable for indirect, consequential or special losses, including loss of income, loss of data or loss of business opportunity, even if we have been advised of the possibility of such losses.
We are not liable for delays or failures caused by circumstances outside our reasonable control, including but not limited to illness, natural events, utility failures or government action.
10. Indemnification
You agree to indemnify and hold Bridgenest harmless from any claims, losses, costs or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Website in a manner contrary to these Terms, or your provision of false or misleading information in connection with an engagement.
11. Termination
Either party may terminate a Service engagement with written notice. For single-engagement services, either party may withdraw before work begins with written notice; cancellation after work has begun is subject to the fee provisions in Section 6. For the Annual Retainer, refer to Section 7.
Upon termination, any deliverables completed to that date will be provided to you. Bridgenest will delete any working copies of your data held solely for service delivery purposes within 30 days of termination.
Clauses 8, 9, 10 and 13 survive termination of any Agreement.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms or a Service engagement shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved informally within 30 days, the parties agree to submit to the non-exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
13. General Provisions
- Entire agreement: These Terms, together with the relevant Scope Document, constitute the entire agreement between us for each engagement and supersede all prior discussions or representations.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- No waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a successor business without your consent, provided the successor is bound by the same obligations.
- Notices: Formal notices under these Terms should be sent by email to [email protected] or by post to 30 Jalan Pahang, 53000 Kuala Lumpur.
14. Changes to These Terms
We may update these Terms from time to time. The revised version will be published on this page with a new "Last Updated" date. Changes do not affect Scope Documents already agreed before the revision date. Continued use of our Website or Services following a revision constitutes acceptance of the updated Terms.
